Terms of Service

Important government-service disclosure

EIN-USA is an independent private service. We are not affiliated with or endorsed by the IRS or any U.S. government agency. An EIN may be requested directly from the IRS without paying an IRS application fee.

1. Agreement to these Terms

These Terms of Service constitute a legally binding agreement between you and Lexometry USA Inc., a Wyoming company (“we,” “us,” or “our”). EIN-USA is a separate administrative service operated by Lexometry USA Inc.

By purchasing a service, submitting information or documents, or selecting the acceptance checkbox, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

2. Independent private service provider

EIN-USA provides optional document guidance, preparation, transmission, and administrative assistance. We are not part of, endorsed by, or affiliated with the Internal Revenue Service, the United States government, any Secretary of State, or any other government agency.

EIN-USA is not a law firm, accounting firm, registered agent, government agency, or tax advisory firm. We do not provide legal, tax, accounting, immigration, investment, or financial advice. Customers should consult an appropriately licensed professional when such advice is required.

Using our website or services does not create an attorney-client, accountant-client, fiduciary, agency, partnership, employment, or joint-venture relationship. Communications with EIN-USA are not protected by attorney-client privilege.

3. Eligibility, accuracy, and authority

By using our services, you represent that:

  1. You are at least 18 years old and legally able to enter into a contract.
  2. All information you provide is accurate, complete, current, and not misleading.
  3. You are the applicant, responsible party, authorized representative, or otherwise legally authorized to act for the entity concerned.
  4. You have authority to provide all personal, tax, and business information contained in the submission.
  5. You will not use the service for fraud, identity misuse, deception, or any unlawful purpose.

We may immediately place an order and any related transmission on hold, request identity or authority verification, preserve relevant transaction records, or refuse, suspend, or cancel an order if we reasonably suspect fraud, identity misuse, sanctions exposure, false or altered documents, illegal activity, or lack of authorization.

Where required or permitted by applicable law, or in response to valid legal process, we may report or disclose suspected fraud, attempted unlawful EIN acquisition, identity theft, false documents, or related transaction records to the IRS, the Federal Trade Commission, law-enforcement authorities, payment processors, affected persons, or other competent authorities. We may cooperate with lawful investigations and are not required to notify the customer before making a legally protected or required report.

Payment does not require us to process or transmit a submission that we reasonably believe may be unlawful, deceptive, unauthorized, or unsafe. Any refund of an unearned service fee will be handled under these Terms and applicable law.

4. Service descriptions and limitations

4.1 One-Time IRS EIN Fax

The fax service covers transmission of one eligible IRS EIN document package to one fax number supplied or confirmed by the customer. Unless the checkout page expressly states otherwise, the service is limited to:

  • one PDF document;
  • a maximum of 10 pages;
  • a maximum file size of 5 MB;
  • one destination fax number;
  • documents related to an IRS EIN application.

The customer is solely responsible for supplying and verifying the destination fax number, confirming that the destination is appropriate, reviewing the document, signing it where required, and ensuring that transmission is lawful and appropriate.

Unless expressly included in the purchased service, EIN-USA does not select or independently verify the destination fax number. A transmission confirmation means only that the sending system reported a completed transmission. It does not establish that the IRS accepted, approved, correctly processed, or associated the document with the intended matter.

After payment, EIN-USA may provide a designated return fax number for the customer to enter manually in the appropriate Form SS-4 fax field. By selecting the return-fax authorization and submitting the document, the customer expressly authorizes EIN-USA to receive a related IRS fax response and forward it to the email address associated with the order. If the customer uses the Third Party Designee section, the customer is responsible for completing all required authorization and signature fields.

We cannot guarantee that the IRS will respond by fax, use the designated number, or that every response will be successfully received. Some government correspondence may be mailed directly to the taxpayer.

4.2 PDF guide

The PDF guide contains general educational and administrative information. It is not individualized legal or tax advice and does not guarantee acceptance of an application.

Government procedures, forms, addresses, fax numbers, and processing practices may change. The customer must verify current requirements with the relevant government agency before submission.

4.3 Manual EIN assistance

Manual EIN assistance is an administrative preparation service, not merely a fax transmission. It may include reviewing supplied information for visible omissions or internal inconsistencies, preparing Form SS-4 from that information, providing the prepared document for customer review and signature, securely receiving the signed document, transmitting the customer-approved document through the applicable IRS channel, and forwarding a related IRS fax response if one is received by EIN-USA.

Our role is limited to accurately entering the customer’s documented legal and factual information on the applicable form. We do not invent, alter, conceal, manipulate, or restructure facts to obtain an EIN or another government result. We will not select answers merely because they may improve the likelihood of approval.

The customer remains responsible for reviewing every entry, identifying the correct responsible party, confirming that the information is true and complete, signing where required, approving the final document, and responding to later IRS requests.

We will not sign a customer declaration, impersonate a responsible party, provide a nominee responsible party, misrepresent the legal reality of an entity, or certify information we cannot independently verify. We may pause or refuse work where information is incomplete, inconsistent, unsupported, misleading, or appears unlawful.

4.4 Annual filing assistance

Annual filing assistance covers a standard filing based on information provided by the customer. Unless expressly stated otherwise:

  • government and state filing fees are separate;
  • franchise taxes, penalties, reinstatements, expedited fees, and professional fees are not included;
  • overdue, amended, disputed, or unusually complex filings may require a separate quotation;
  • the customer remains responsible for identifying all applicable filing and tax obligations;
  • we do not guarantee that a filing will preserve good standing where other obligations remain outstanding.

We may decline an out-of-scope filing and refund any unearned service fee.

Annual filing assistance is also limited to accurately reflecting the entity’s existing legal and factual information. We do not create, backdate, conceal, or alter corporate facts or records to obtain good standing, avoid an obligation, or produce a government result.

5. Customer review and authorization

Before a document is transmitted or submitted, the customer must carefully review all names, addresses, entity details, state information, responsible-party information, tax classifications, fax numbers, signatures, and other entries.

By approving or submitting a document, the customer authorizes EIN-USA to process and transmit it for the limited purpose described in the order. The customer understands that incorrect or incomplete information may cause rejection, delay, duplicate EIN issuance, misdirected correspondence, penalties, or other consequences.

6. No guarantee of government action

Government agencies operate independently from EIN-USA. We do not control and cannot guarantee:

  • acceptance, approval, or issuance of an EIN;
  • a specific processing or response time;
  • delivery of government correspondence;
  • acceptance of a fax transmission as a valid filing;
  • entity good standing;
  • any legal, tax, immigration, banking, credit, or commercial outcome.

The IRS Paperwork Reduction Act estimate for Form SS-4 lists approximately 5 hours 58 minutes for recordkeeping, 1 hour 17 minutes for learning about the law or form, and 1 hour 26 minutes for preparing, copying, assembling, and sending the form. These are government burden estimates that may vary by applicant. They are not IRS processing times, not the time EIN-USA promises to spend on an individual order, and not a guarantee of when an EIN or response will be issued. Any processing or turnaround time displayed on our website is an estimate, not a promise. IRS delay, rejection, non-response, or a request for additional information is outside EIN-USA's control.

7. Prices, payment, and optional upgrade

Prices are displayed before payment and are charged as one-time payments unless the checkout page clearly states otherwise. EIN-USA does not enroll customers in automatic subscriptions.

Government fees, state fees, taxes, penalties, courier costs, and third-party charges are excluded unless expressly identified at checkout. Card payments are processed by Stripe, an independent payment processor, and EIN-USA does not directly store complete payment-card information.

Wise, PayPal, or a payment QR may be accepted only when arranged in advance and confirmed in writing from an official @ein-usa.com email address. Work begins only after the payment has been received and matched to the correct order. Customers should not send payment using instructions received from any other domain or unverified account.

Optional manual assistance: A customer who purchased the $12 guide package may be offered manual EIN assistance. The manual service costs $49 total. Where the offer expressly provides a full $12 credit, the remaining payment is $37. The upgrade is entirely optional and declining it does not affect the original purchase.

8. Refund and cancellation policy

8.1 Fax service

A full service-fee refund may be issued if we cannot attempt transmission because of a technical failure attributable solely to EIN-USA.

Except where applicable law requires otherwise, no refund is due after a successful transmission confirmation or where failure results from an incorrect or unreachable number supplied by the customer, rejection by the receiving system, an incomplete or unsigned document, an incompatible or corrupted file, inaccurate customer information, or government delay, rejection, or non-response.

We may, at our discretion, provide one additional transmission attempt.

8.2 Digital guide

Because the guide is a digital product, the guide portion becomes non-refundable after it has been accessed or downloaded, except where required by law or where the file is materially defective and cannot be replaced.

8.3 Manual and annual filing services

A customer may request cancellation before work begins and receive a refund of the unearned service fee. After preparation or review begins, a refund may be reduced by the reasonable value of work already performed. After a document has been transmitted or filed, the service fee is generally non-refundable.

An IRS or other government delay, rejection, non-response, request for clarification, or request for additional documents does not by itself create a right to a refund, because EIN-USA does not control government review or decisions.

Government fees and third-party charges are non-refundable after payment. Nothing in this section limits mandatory consumer rights that cannot legally be waived.

9. Personal information and documents

Customers should submit only information reasonably necessary for the purchased service. Documents may contain sensitive personal, business, or taxpayer information.

We may process customer information and documents as reasonably necessary to provide the service, communicate about the order, prevent fraud, maintain transaction and transmission records, comply with legal obligations, and resolve disputes or payment chargebacks.

Providing the service may require transmission through email providers, hosting providers, payment processors, fax infrastructure, government systems, or other service providers. Internet, email, and fax communications cannot be guaranteed to be completely secure.

Our separate Privacy Policy provides additional information regarding collection, use, retention, security, and customer rights.

10. Prohibited use

Customers may not submit or transmit:

  • fraudulent, forged, altered, or intentionally misleading documents;
  • documents belonging to another person without authorization;
  • malware, harmful files, unlawful threats, or abusive content;
  • unsolicited advertising or mass fax communications;
  • content violating privacy, intellectual-property, sanctions, export-control, or other applicable laws;
  • content unrelated to the purchased service.

We may preserve and disclose records where legally required or reasonably necessary to investigate suspected fraud, respond to lawful process, or protect customers and the service.

10.1 Acceptable website use

You may not directly or indirectly:

  • interfere with, overload, disrupt, test, or attempt unauthorized access to the website, server, database, administrator area, forms, or payment flow;
  • bypass access controls, download limits, security measures, or technical restrictions;
  • introduce malware, malicious code, automated spam, or fraudulent checkout requests;
  • scrape, crawl, copy, reproduce, republish, resell, or commercially exploit protected website content except as permitted by law or with our written permission;
  • access another customer’s order, download, document, or personal information;
  • misrepresent your identity, authority, affiliation, or purpose.

Ordinary search-engine indexing and accessibility tools are permitted when they respect published technical controls and do not disrupt the service.

11. Intellectual property and warranty disclaimer

The EIN-USA website, original guides, text, graphics, workflows, and branding are owned by or licensed to EIN-USA. Purchasing a guide provides a limited, personal, non-exclusive, non-transferable license for the customer’s own use. It may not be resold, commercially redistributed, or represented as another party’s work.

Government forms and publications remain subject to their applicable public-use rules.

To the maximum extent permitted by law, our services are provided “as is” and “as available.” EIN-USA disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and guaranteed government acceptance. This paragraph does not exclude warranties that cannot legally be excluded.

12. Limitation of liability and customer responsibility

To the maximum extent permitted by law, EIN-USA will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, business opportunities, data, filing status, or anticipated benefits.

Except where prohibited by law, EIN-USA’s aggregate liability arising from an order will not exceed the amount paid to EIN-USA for the service giving rise to the claim.

To the extent permitted by law, the customer agrees to indemnify and hold EIN-USA harmless from third-party claims arising from false or unauthorized information supplied by the customer, documents submitted without authority, an incorrect destination selected by the customer, unlawful use of the service, or infringement of another person’s rights.

These limitations do not apply to liability that cannot legally be limited or excluded.

13. Electronic communications and consent

The customer consents to transactional emails concerning purchases, downloads, submissions, government responses, security, and support. Transactional messages do not enroll the customer in a marketing subscription.

Electronic checkbox acceptance, payment, timestamps, order identifiers, IP address, user-agent information, and submission records may be retained as evidence of the transaction and authorization.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Subject to mandatory consumer protections and applicable small-claims rights, disputes shall be brought in the state or federal courts having jurisdiction in Sheridan County, Wyoming, and the parties consent to their jurisdiction.

Before filing a claim, the customer agrees to send a written notice to support@ein-usa.com describing the dispute and requested resolution, and to allow 30 days for an informal resolution attempt.

Nothing in these Terms removes rights or legal protections that cannot be waived under applicable law.

15. Changes, severability, and complete agreement

We may revise these Terms prospectively. The version accepted when an order is placed governs that order unless a change is required by law or expressly accepted by the customer.

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.

These Terms, the applicable order description, the Refund Policy contained here, and the Privacy Policy constitute the agreement concerning the purchased service.

15.1 Force majeure

EIN-USA is not responsible for delay or non-performance caused by events beyond our reasonable control, including government action or closure, changes in law or filing procedure, telecommunications or fax failure, internet or hosting outage, power failure, cyberattack, labor disruption, natural disaster, epidemic, war, terrorism, civil disorder, or failure of an essential third-party provider. This clause does not excuse our obligation to refund an unearned service fee where required by these Terms or applicable law.

15.2 Assignment and third-party rights

You may not transfer an order or your rights under these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, reorganization, financing, or transfer of the relevant business, subject to applicable law and our Privacy Policy.

These Terms do not create rights for any person other than the customer, EIN-USA, and their permitted successors or assigns.
